Welcome to Imagine Web! These Terms and Conditions (“Agreement”) govern your use of our website, products, and services provided by 1000685874 ONTARIO INC. (“Company,” “Imagine Web,” “we,” “us,” or “our”). By engaging our web design and development services, you agree to abide by these terms. If you do not agree to these terms, please refrain from using our services.
1. SERVICES
Imagine Web provides web-related services, including but not limited to:
- Website Design & Development
- UI/UX Design
- E-commerce Development
- SEO & Digital Marketing
- Website Hosting & Maintenance
- Website Revamps & Redesigns
- Branding & Graphic Design
All services are subject to the client’s agreement to these terms. Any additional services requested beyond the agreed scope will be quoted separately.
2. CLIENT RESPONSIBILITIES
- Provide all necessary content, images, logos, and branding materials in a timely manner.
- Ensure any content provided does not infringe on third-party intellectual property rights.
- Respond to feedback requests within the agreed project timeline to avoid delays.
- Maintain their website after project completion unless a maintenance contract is signed.
3. PROJECT TIMELINES
- Project timelines are estimated and may vary based on client responsiveness and complexity.
- Imagine Web will make reasonable efforts to meet deadlines but is not liable for delays caused by third parties, client revisions, or unforeseen circumstances.
- If a client causes a project delay beyond 30 days, Imagine Web reserves the right to pause or terminate the project without a refund.
4. PAYMENTS & REFUNDS
- A 50% upfront deposit is required before starting any project. The remaining balance must be paid upon project completion.
- Payments are non-refundable once work has commenced.
- For monthly or ongoing services (e.g., SEO, hosting, maintenance), payments are due on a recurring basis as per the contract terms.
- Late payments may result in project suspension, and a late fee of 5% per month may apply.
- If a client fails to make payment within 30 days of the due date, Imagine Web reserves the right to terminate services and retain any completed work.
5. REVISIONS & APPROVALS
- Each project includes two rounds of revisions unless otherwise stated in the agreement.
- Additional revisions beyond the agreed limit will be billed at an hourly rate of [$XX/hour].
- Once the final design or website is approved and delivered, any future changes will be treated as a new project.
6. INTELLECTUAL PROPERTY
- Upon full payment, clients receive ownership rights to the final website design and content.
- Imagine Web retains ownership of any pre-designed templates, frameworks, plugins, and proprietary tools used in development.
- Clients must not resell, redistribute, or use Imagine Web’s proprietary code or design elements without permission.
- If third-party assets (e.g., stock images, fonts) are used, the client is responsible for obtaining necessary licenses unless otherwise agreed upon.
7. WEBSITE HOSTING & MAINTENANCE
- Hosting services, if provided by Imagine Web, are subject to a separate agreement.
- Imagine Web is not responsible for server downtimes, security breaches, or data loss if the website is hosted on third-party platforms.
- If a client chooses self-hosting, Imagine Web will provide files, but ongoing support may require a maintenance contract.
8. SEARCH ENGINE OPTIMIZATION (SEO) & DIGITAL MARKETING
- Imagine Web provides SEO services based on industry best practices. However, we do not guarantee specific ranking positions on Google or other search engines.
- Marketing results depend on multiple factors, including competition, algorithm updates, and client cooperation in implementing strategies.
9. TERMINATION & CANCELLATION
- Clients may terminate a project before commencement for a full refund, minus administrative fees.
- Once work has started, no refunds will be issued.
- Imagine Web reserves the right to terminate services if a client violates any terms, engages in fraudulent activities, or fails to make payments.
10. LIABILITY & WARRANTIES
- Imagine Web does not guarantee that websites will be free from errors, bugs, or security vulnerabilities.
- We are not liable for loss of data, cyberattacks, or financial damages arising from website use.
- Clients are responsible for website security updates and backups unless covered under a maintenance plan.
- Imagine Web is not responsible for website downtime caused by third-party hosting providers.
11. CONFIDENTIALITY
- Both parties agree to keep confidential any non-public information shared during the course of the project.
- Imagine Web may showcase completed projects in its portfolio unless the client explicitly requests otherwise.
12. THIRD-PARTY SERVICES & INTEGRATIONS
- Imagine Web may integrate third-party services (e.g., payment gateways, CRM tools, analytics).
- We are not responsible for issues arising from third-party services, their updates, or policy changes.
13. GOVERNING LAW & DISPUTE RESOLUTION
- These Terms are governed by the laws of the Province of Ontario, Canada.
- Any disputes will first be resolved through negotiation. If unresolved, disputes will be settled through binding arbitration in Ontario.
- Clients waive their right to file class-action lawsuits against Imagine Web.
14. CHANGES TO TERMS
- Imagine Web may update these Terms at any time. Clients will be notified of major changes via email or website announcements.
